1. Agreement to Terms

By accessing or using the GoodStream platform ("Platform"), website, or any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. Additional terms may apply when you register for an account or access specific features ("Platform Terms"), and such terms are incorporated by reference.

2. Description of Service

GoodStream provides a portfolio intelligence platform designed for private capital firms. Our Services include automated data extraction, portfolio monitoring, reporting and valuation tools, and related analytics capabilities. Features and functionality may change as we continue to develop the Platform.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Services, you represent and warrant that you meet these requirements.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, for all activities that occur under your account, and for ensuring that the information you provide is accurate and current. You agree to notify us immediately of any unauthorized use of your account.

5. Intellectual Property

The Platform, including its design, software, algorithms, documentation, and branding, is owned by GoodStream, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.

Your data remains yours. You retain all rights to the data you upload to or create within the Platform. By using the Services, you grant GoodStream a limited license to process your data solely for the purpose of providing and improving the Services.

6. Acceptable Use

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) upload malicious code or attempt to compromise Platform security; (c) access another user's account without authorization; (d) use the Platform for any purpose other than its intended business use; or (e) resell, sublicense, or redistribute the Services without our written consent.

7. Third-Party Services

The Platform may integrate with or link to third-party services, tools, or websites. GoodStream does not control and is not responsible for the content, privacy practices, or availability of third-party services. Your use of such services is governed by their respective terms and policies.

8. Limitation of Liability

To the maximum extent permitted by law, GoodStream shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to GoodStream during the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

GoodStream is not a financial advisor. Nothing in the Platform constitutes investment advice, tax advice, or a recommendation to buy, sell, or hold any security or financial instrument. You are solely responsible for your own investment decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless GoodStream, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through the Platform with at least thirty (30) days' notice. Your continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.
